Dentsply Sirona Pty Ltd (‘we’, ‘us’ or ‘our’) warrants that any equipment listed in Annexure A that you purchase from us on or after 1 November 2024 (‘Acquisition Date’), and the spare parts that are used to repair such equipment (‘DS Parts), will be free from defects in materials and workmanship with normal intended use, for a period that, depending on the description or nature of the equipment, is the longer of the following:

  • the period specified in Annexure A for the relevant equipment or DS Parts with the time commencing to run on the date that the installation of the equipment, or DS Parts, is completed; or
  • the period as agreed with you in writing on any occasion.

 

To honour the Supplier Warranty, we will ensure that either we or one of our authorised service providers will make the necessary repairs (which may include using new DS Parts) to correct any defect covered by this Supplier Warranty, without charge to you. Our liability under this Supplier Warranty is limited to ensuring that any such repairs are made in accordance with these terms and conditions (which may be amended by us on one or more occasions).

In this document, ‘you’ or ‘your’ is a reference to you our customer being a person, corporation or other legal entity who has purchased an item or items of equipment listed in Annexure A from us, or for which a DS Part was supplied and to which, in each case, the Supplier Warranty relates.

Changes to this document

We may change the content of this document (including by changing the scope of the Supplier Warranty or the Supplier Warranty periods) from time to time by publishing an updated version of this document online here: https://www.dentsplysirona.com/en-au/legal/equipment-warranties.html (for Australian customers) and https://www.dentsplysirona.com/en-nz/legal/equipment-warranties.html (for NZ customers).

Any changes to the content of this document will only apply to purchases that are made after the updated version of this document has been published online. We strongly encourage you to check the online version of this document regularly and before making any purchases.

Supplier Warranty Details

Equipment

Any equipment, described in Annexure A, that you buy from us on or after the Acquisition Date.

 

DS Parts

DS Parts are also covered by the Supplier Warranty until they are individually repaired or replaced.[1] Once the repaired or replaced DS Parts have been installed in your equipment, the DS Parts will be recorded in our system with a separate Supplier Warranty period that applies to the DS Parts in their own right, unless the Supplier Warranty period that applies to the DS Parts is shorter than the Supplier Warranty period for the equipment. In this circumstance, we will adjust the Supplier Warranty period that applies to the DS Parts so that it aligns with the Supplier Warranty period for the equipment. If for whatever reason the installation of the DS Parts cannot be completed in one day, the Supplier Warranty for the DS Parts will only commence after the final day of the installation process.

 

Software

The Supplier Warranty will also cover the software that is supplied with your equipment, but only in circumstances where:

  • the software fails to perform substantially in accordance with its stated specifications; and
  • the failure of the software was not caused by external factors.

Please note the exclusions below in relation to software-related defects that are caused by external factors.

Once we have confirmed that your equipment is still covered by the Supplier Warranty, we will arrange for your equipment to be serviced under the Supplier Warranty either on-site or at one of our service locations (‘Warranty Service’). The Warranty Service will be undertaken by us or one of our authorised service providers.

If we have confirmed that your equipment is no longer covered by the Supplier Warranty, then our out-of-warranty service arrangements will apply. Please see the ‘Out-of-Warranty Services’ section below for further details.

The Supplier Warranty period for each item of equipment and DS Parts is set out in Annexure A. Each Supplier Warranty period will start from the date that the installation of the equipment, or DS Parts, is completed.

You can extend the Supplier Warranty period for eligible equipment by up to 2 additional years if you purchase a DS Core Care subscription for each item of eligible equipment. After the 2 additional years have expired, you can extend the Supplier Warranty period for up to 3 more years if you renew your DS Core Care subscription for the eligible equipment. The DS Core Care subscription must be purchased and renewed within the periods prescribed by the DS Core Care Terms and Conditions.

The Supplier Warranty will not cover defects of the equipment or DS Parts that were caused by one or more of the following:

  • an alteration or modification to the equipment or DS Parts that was not made or approved by us;
  • your or any third party’s negligence or intentional acts, including theft or vandalism;
  • unauthorised repairs;
  • misuse or abuse by you or any unauthorised third party;
  • improper handling, installation, maintenance, testing or use by you or any unauthorised third party; 
  • fire originating outside of the equipment;
  • accidents, Force Majeure events or other types of catastrophic damage;[2]
  • any failure of any third-party computer operating systems, hardware environment or software utilised by you.

Without limiting the above, the Supplier Warranty will also be considered void if:

  • you fail to reasonably assist us in verifying, reproducing and correcting the conditions that lead to the failure in performance or defect of the equipment or DS Part,
  • we are unable after using reasonable efforts to verify and reproduce such failure or defect condition of the equipment or DS Part as reported by you;
  • you fail to allow for the performance of regular maintenance in accordance with the applicable maintenance schedule for your equipment;
  •  you otherwise fail to maintain the equipment in accordance with the maintenance specifications for the equipment (as advised by us in writing from time to time), including by failing to use specified cleaning products.

Finally, the Supplier Warranty will not cover:

  • normal wear and tear (e.g. chair upholstery being worn over time);
  • defects arising from software issues that were caused by external factors, including but not limited to anti-virus updates, firewall updates, Windows updates, update of Windows profile security settings; network reconfiguration (unless required as a direct result of an internal failure of our software), software installations and/or updates that conflict with the operation of our software, infrastructure failure (such as power outage, router broken, staff opened ransomware etc.), natural disasters, physical failures of the IT hardware or operating system issues; or
  • consumables (including, without limitation, light bulbs, LEDs, fibres, PSP plates, hygiene sleeves, bite blocks). Please see Annexure B for a full list of consumables and wear and tear parts that are not covered under the Supplier Warranty.

The Supplier Warranty will be void if an unauthorised third party undertakes any repairs to your equipment.

‘Unauthorised third party’ includes any service providers who may have undertaken Warranty Services on our behalf in the past but was acting without our express, written instructions at the time that the relevant repairs were made.

The Supplier Warranty is not transferable to subsequent owners of the equipment or DS Part.  It is personal to you. 

Out-of-warranty services

If your equipment is no longer covered by the Supplier Warranty set out in Annexure A, you can still request that we service your equipment (‘Out-of-Warranty Service’), but we may charge for parts, labour, travel, freight, remote software support and incidental expenses required for the Out-of-Warranty Service.

We warrant that any DS Part that has been replaced as part of an Out-of-Warranty Service will be free from defects for a period of 90-days starting from the date that the Out-of-Warranty Service was completed. This warranty only extends to Out-of-Warranty Services that were completed by us or one of our authorised service providers. This warranty is also subject to the same exclusions that apply to the Supplier Warranty (as set out above).

Australian Consumer Law Guarantees – Warranty against defects

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

  • to cancel your service contract with us; and
  • to a refund for the unused portion, or to compensation for its reduced value.

​You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

Repair of the goods may result in loss of data.

IMPORTANT NOTES

* Plastics of this item of equipment are required to be cleaned with Dentsply Sirona approved products only: Alpro IC 100, Alpro PlastiSept Eco, Duerr FD366.

~ You must register this equipment to benefit from the Supplier Warranty. Additional years of warranty may be available depending on the registration via the Duerr website which is managed by Duerr Dental.
